By accessing or using Investra ("Platform", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Platform.

2. Description of Service

Investra is an AI-powered real estate investment analysis platform designed to help investors research, analyze, and evaluate real estate investment opportunities. Our services include:

• Property Search & Discovery: Search for properties across the United States using our AI-powered search engine
• AI Investment Analysis: Receive AI-generated property analysis including cash flow projections, ROI calculations, and investment recommendations
• Market Data & Trends: Access market analytics, trends, forecasts, and neighborhood data
• Portfolio Management: Track and manage your saved properties and investment portfolio
• Financial Calculators: Use advanced calculators for cash flow, Fix & Flip, BRRRR, and other investment strategies
• Comparable Sales Analysis: Research recent sales and comparable properties in target areas
• Export & Reporting: Generate PDF and CSV reports for investment analysis
• AI Chat Assistant: Interact with our AI assistant for real estate investment guidance

3. User Accounts

Registration

To access certain features of the Platform, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Account Restrictions

You may not:

• Create multiple accounts for the same person
• Share your account credentials with others
• Transfer or sell your account to another party
• Use another person's account without permission

Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease.

4. Subscription Plans and Pricing

Available Plans

We offer multiple subscription tiers to meet different investor needs:

Free Plan

Investra offers a free plan with limited access to analytics tools, AI chats, and property analyses. The free plan does not require a credit card. When you upgrade to a paid plan, your subscription begins immediately and your payment method will be charged. We offer a 30-day money-back guarantee on all paid plans.

Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected billing cycle). By subscribing, you authorize us to charge your designated payment method for all applicable fees. Billing occurs on the same date each billing period.

Refund Policy

We offer a 14-day money-back guarantee for new paying subscribers. If you are not satisfied with our service, you may request a full refund within 14 days of your first payment. After this period, payments are non-refundable. Cancellations take effect at the end of the current billing period, and you will retain access until that time.

Plan Changes

You may upgrade or downgrade your subscription plan at any time. Upgrades take effect immediately, with prorated charges applied. Downgrades take effect at the start of your next billing period.

5. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Platform, accounts, or systems
• Transmit any malware, viruses, worms, or other harmful code
• Scrape, crawl, spider, or data mine the Platform without authorization
• Use automated tools, bots, or scripts to access the Platform without permission
• Interfere with or disrupt the Platform's operation or servers
• Impersonate any person or entity, or misrepresent your affiliation
• Circumvent, disable, or interfere with security features
• Use the Platform to compete with us or for commercial data harvesting
• Resell, redistribute, or sublicense access to the Platform
• Share your account credentials or allow others to use your account
• Exceed your plan's usage limits through technical manipulation

6. Data Accuracy and Third-Party Data

Our Platform aggregates data from various third-party sources including but not limited to real estate listing services, public records, and market data providers. While we strive for accuracy, we make no guarantees regarding:

• The accuracy, completeness, or timeliness of property listings or market data
• The availability or current status of any listed property
• Property valuations, rent estimates, or price predictions
• Neighborhood statistics or demographic information
• AI-generated analysis, recommendations, or projections

You are responsible for independently verifying all information before making any investment decisions.

7. Intellectual Property

All content, features, functionality, software, designs, text, graphics, logos, and other materials on the Platform are owned by Investra or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

You may not:

• Reproduce, distribute, modify, or create derivative works without permission
• Remove or alter any copyright, trademark, or proprietary notices
• Use our trademarks, logos, or brand elements without written consent
• Reverse engineer, decompile, or disassemble any software

You retain ownership of any content you submit to the Platform. By submitting content, you grant us a non-exclusive, royalty-free license to use, display, and process that content for the purpose of providing our services.

8. AI-Generated Content

Our Platform uses artificial intelligence, including technologies from OpenAI and Anthropic, to provide property analysis, market insights, and investment recommendations. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or biases
• AI analysis should be used as a starting point, not a final decision
• AI cannot account for all factors relevant to investment decisions
• AI predictions and projections are estimates and not guarantees
• You should always perform your own due diligence and consult professionals

9. Disclaimer of Warranties

We do not warrant that:

• The Platform will be uninterrupted, error-free, or secure
• Results obtained from the Platform will be accurate or reliable
• Any errors or defects will be corrected
• The Platform is free of viruses or harmful components

Investment decisions should be made after consulting with qualified financial advisors, real estate professionals, and legal counsel. Past performance does not guarantee future results. Real estate investments involve substantial risk, including the risk of loss of principal.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVESTRA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or anticipated savings
• Loss of data, information, or business opportunities
• Investment losses or financial damages based on Platform information
• Business interruption or loss of goodwill
• Any damages arising from third-party actions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Investra and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Your investment decisions based on Platform information
• Any content you submit to the Platform
• Your negligent or wrongful conduct

12. Third-Party Services

Our Platform integrates with or may contain links to third-party services, including:

• Stripe for payment processing
• Supabase for authentication and data storage
• OpenAI and Anthropic for AI-powered analysis
• Google Maps for location services
• Various real estate data providers

We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is subject to their respective terms and privacy policies.

13. Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will provide notice of material changes by:

• Posting the updated Terms on the Platform
• Updating the "Last Updated" date
• Sending email notification for significant changes

Your continued use of the Platform after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Investra.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign freely.
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our control.
